HOBA PRO
TERMS OF USE.

Last updated: October 2026

These Terms of Use (“Terms”) govern your access to and use of HOBA Pro (the “Software”), the business transformation platform built on the HOBA® framework. HOBA Pro is owned and operated by HOBA Tech Ltd, 71-75 Shelton Street, Covent Garden, London WC2H 9JQ, United Kingdom (“HOBA Tech”, “we”, “us” or “our”).

By registering for, accessing or using HOBA Pro you agree to these Terms, our Fair Use Policy and our Privacy Policy. If you use HOBA Pro on behalf of an organisation, you confirm that you have authority to bind that organisation, and “you” includes that organisation. If you do not agree, do not use HOBA Pro.

These Terms replace the HOBA Pro End User Licence Agreement and all earlier HOBA Pro terms of use, and apply to every HOBA Pro licence, including licences purchased before this date.

1. Definitions

  • Order means the order form, proposal, checkout confirmation or licence confirmation email that sets out your licence type, term, seats, allowances and fees.
  • Seat means a named user who can create and edit projects and generate documents.
  • Read-only member means a user invited to a project who can view and comment only.
  • Customer Data means the data, content and files you or your users put into HOBA Pro.
  • Output means documents, text and other material that HOBA Pro generates for you, including content produced with AI features.

2. Your Licence

Subject to these Terms and your Order, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use HOBA Pro for the term and within the limits of your licence type. Where your licence type permits commercial use, you may use HOBA Pro to deliver business transformation services to your own clients. No other rights are granted.

3. Licence Types

Your Order states which licence type you hold. Where your Order and these Terms differ, your Order applies.

  • Evaluation and pilot licences. Time-limited licences for learning and evaluating HOBA Pro. They are offered only to students of HOBA training programmes and to HOBA-certified and part-certified Business Transformation Architects. Exports carry a watermark and are limited to PDF. Output must not be used in client deliverables or for any commercial purpose.
  • Academic licences. For students and universities. Exports carry a “student copy” watermark. Commercial use is not permitted.
  • Partner demonstration licences. For certified HOBA partners, for demonstrating HOBA Pro to prospective clients only. You must not enter client data. All screens, documents and exports carry a permanent “Partner Demonstration” watermark. Only users from the partner’s own organisation may be added. Client engagements must always run on the client’s own paid licence.
  • Commercial licences (individual, lifetime, team and enterprise licences). No watermark, PDF and PowerPoint export, and commercial use, including use on client work, is permitted.
  • Lifetime licences. “Lifetime” means for as long as we offer HOBA Pro, not the lifetime of the licence holder. A lifetime licence covers one named seat, is personal to the purchaser and cannot be transferred, carries no renewal fee, is subject to the Fair Use Policy, and does not include enterprise features. The lifetime payment is not credited against any upgrade.

4. Seats and Members

Each seat is for one named person. Login details must not be shared, and a seat may only be reassigned with our agreement. You may invite read-only members to your projects free of charge unless your Order says otherwise. Read-only members can view and comment only: they cannot create projects or blueprints, generate documents, export or print. Additional seats are available under a team licence, subject to the minimum team size in your Order.

5. Watermarks

Where your licence type includes a watermark, you must not remove, obscure, alter or work around it, or present watermarked Output as a client deliverable. A watermark is removed only by moving to a licence type that does not carry one. A partner demonstration watermark is permanent and is not removed by buying other licences.

6. Fair Use

Document generation and AI features use third-party AI services that cost us money each time they are used. Your use of these features is subject to the monthly allowances in our Fair Use Policy or your Order. Allowances reset each month and unused allowance does not carry over. When an allowance is reached we may pause generation and AI features until it resets. Viewing, editing and commenting are never limited by fair use. You must not use scripts, automation or shared accounts to get around an allowance.

7. AI Features and Output

  • AI-generated Output may be incomplete or inaccurate. You are responsible for reviewing Output before you rely on it or share it.
  • As between you and us, you own your Output. The HOBA® framework, models, templates and structures that appear in Output remain our intellectual property, and you may use them within Output for your own and, where your licence permits, your clients’ purposes.
  • We do not use Customer Data or Output to train AI models.
  • To provide AI features, relevant Customer Data is sent to our AI service providers, who process it on our instructions and under contract. See our Privacy Policy.

8. Customer Data

You own your Customer Data. You give us permission to host, copy, process and display it only as needed to provide, secure and support HOBA Pro. We keep Customer Data confidential and protect it with appropriate technical and organisational measures. You are responsible for having the rights and permissions needed to put Customer Data into HOBA Pro. Where we process personal data on your behalf, we do so as your processor; a data processing agreement is available on request from [email protected]. When your licence ends, you may export your Customer Data for 30 days, after which we delete it, unless the law requires us to keep it.

9. Acceptable Use

You must not:

  • copy, reproduce, distribute or create derivative works of HOBA Pro or the HOBA® framework, except as these Terms allow;
  • reverse engineer, decompile or attempt to extract the source code of HOBA Pro;
  • sublicense, sell, rent or lease HOBA Pro or your login details;
  • use HOBA Pro to build or offer a competing product or service;
  • remove or alter any copyright, trade mark or other proprietary notice, or any watermark;
  • use HOBA Pro unlawfully, or upload malicious code or content you have no right to use; or
  • attempt to access another customer’s data or break the security of HOBA Pro.

10. Intellectual Property

HOBA Pro, the HOBA® framework, the six HOBA models, the 4+1 Ladder, and all related software, content, templates, trade marks and documentation are owned by HOBA Tech Ltd or its licensors and are protected by copyright, trade mark and other laws. Nothing in these Terms transfers ownership of them to you. For more information, see our Copyright and Intellectual Property page.

11. Beta Features

Some features are made available as a beta or marked “coming soon”. Beta features may be incomplete, may change or may be withdrawn, are provided “as is”, and are not covered by any service levels. Your feedback helps us improve them; we may use it without obligation to you.

12. Fees, Renewal and Upgrades

Fees, billing frequency and term are set out in your Order. Unless your Order says otherwise, subscriptions are billed annually in advance and renew automatically for the same term unless cancelled before the renewal date. Lifetime licences have no renewal fee. Upgrade credits apply only where your Order expressly provides them. If fees are not paid when due, we may suspend access after giving you notice.

13. Support

Standard support for paid licences is provided through AI chat, email to [email protected] and support tickets, with a target first response within 8 hours. Premium support, including phone support, extended hours and a target first response within 3 hours, is available as a paid add-on under your Order.

14. Custom Subdomains

Where your licence includes a custom subdomain, every subdomain is subject to our approval. We may refuse or withdraw a subdomain that uses a name, brand or trade mark belonging to someone else, could cause confusion, or is on our reserved-names list.

15. Suspension and Termination

We may suspend or terminate your access if you materially breach these Terms, including by misusing a licence type, removing a watermark, sharing login details or failing to pay fees. Where reasonable, we will give you notice and a chance to put things right first. You may stop using HOBA Pro at any time; fees already paid are not refundable except where required by law or stated in your Order. On termination your licence ends, and section 8 applies to your Customer Data.

16. Disclaimer

HOBA Pro is provided “as is” and “as available”. To the extent permitted by law, we give no warranty that HOBA Pro will be uninterrupted, error-free or meet your requirements, or that Output will be accurate.

17. Limitation of Liability

Nothing in these Terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be limited by law. Subject to that, we are not liable for any indirect or consequential loss, or for loss of profits, revenue, data, goodwill or business opportunity, and our total liability to you arising out of or in connection with HOBA Pro is limited to the fees you paid us for HOBA Pro in the 12 months before the claim arose.

18. Indemnity

You agree to indemnify HOBA Tech Ltd and its directors, employees and agents against claims, losses and reasonable costs arising from your breach of these Terms, your Customer Data, or your infringement of anyone else’s rights.

19. Changes to These Terms

We may update these Terms. If we make a material change, we will tell you by email or in HOBA Pro at least 30 days before it takes effect, and may ask you to accept the updated Terms before you continue. If you do not agree to a material change, you may stop using HOBA Pro before it takes effect.

20. Governing Law

These Terms and any dispute arising out of or in connection with them are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
